July 6, 2018 Opinion or Order Filing 153 ORDER. The Court has reviewed the parties' joint memorandum. Doc. #152 . The Ninth Circuit's ruling did not foreclose Defendants' arguments that (1) they may assert the forum selection clause in the CPRA because they are closely-related parties under the Manetti-Farrow case, (2) they are agents of a signatory, (3) they are third-party beneficiaries of the CPRA, and (4) they are implied licensees under the CPRA. The court of appeals found Defendants' evidence of (5) assignment of the CPRA insufficient, but did not rule that the assignment argument was entirely foreclosed. The Court concludes that issues (1)-(5) should be the subject of additional briefing. With more than 30 briefs having been filed on these and related issues before the appeal, the Court would have great difficulty isolating the various arguments previously made by the parties. Therefore, Defendants shall file a 20-page memorandum on these five issues by August 3, 2018; Plaintiff shall file a 20-page response by August 31, 2018; Defendants shall file a 10-page reply by September 14, 2018. The Court will not foreclose Defendants from presenting additional evidence on the assignment issue, and Plaintiff can respond to that evidence with evidence of its own or, in effect, with a Rule 56(d)-type response. No motions to strike or sur-replies will be filed, and the parties are reminded of the professionalism required before the Court as mentioned in previous orders. If the Court denies the motion to dismiss after reviewing this additional briefing, it will set another case management conference to address remaining issues in the case. Defendants have indicated that they believe the Court should forego ruling on personal jurisdiction issues. Doc. 152 at 6. The parties are reminded of the briefing requirements in LRCiv 7.1(b)(1), and legal citations in briefs should be set forth in the text as opposed to footnotes.
