Filing 5 MINUTE entry before the Honorable Edmond E. Chang: Upon review of the complaint, the Court orders the following jurisdictional inquiry. Plaintiff's complaint relies on diversity jurisdiction. The complaint alleges that American Private Equity Group is a Delaware limited liability company doing business in Illinois. Compl. at paragraph 2. There is no allegation identifying the members of the LLC or their citizenship. An LLC's citizenship for purposes of diversity jurisdiction is the citizenship of each of the LLC's member shareholders. Wise v. Wachovia Securities, LLC, 450 F.3d 265, 267 (7th Cir. 2006). Additionally, the complaint alleges Defendant's citizenship solely on information and belief. Compl. at para. 3. Citizenship must be established on personal knowledge (such as information obtained from the Secretary of State), not solely on information and belief. See America's Best Inns, Inc. v. Best Inns of Abilene, L.P., 980 F.2d 1072, 1074 (7th Cir. 1992). Accordingly, on or before 09/22/2018, Plaintiff shall either file an amended complaint identifying the LLC's members and their citizenship and alleging Defendant's citizenship based on personal knowledge (or seeking leave to issue jurisdictional discovery as to Defendant's citizenship), or file a memorandum explaining why the case should not be dismissed for lack of subject matter jurisdiction.Emailed notice (Chang, Edmond) |
Filing 4 MINUTE entry before the Honorable Edmond E. Chang: Initial status hearing set for 11/13/2018 at 8:30 AM. The parties must file a joint initial status report with the content described in the attached status report requirements at least 3 business days before the initial status hearing.
