| Filing 8 MINUTE entry before the Honorable Edmond E. Chang: Upon review of the complaint, the Court orders the following jurisdictional inquiry. Plaintiffs' complaint relies in part on diversity jurisdiction under 28 U.S.C. 1332. The complaint alleges that plaintiff Blueprint Healthcare Real Estate Advisors, LLC is a Delaware LLC with its principal place of business in Illinois. R. 1, Compl. Para. 4. The complaint then alleges that that Defendant Safanad Senior Care Investment Partnership V, L.P. is a Delaware limited partnership "operating out of New York, with offices in New York, Dubai, and London." Id. Para. 5. But an LLC's and a limited partnership's citizenship for purposes of diversity jurisdiction depends on the citizenship of its members (for LLCs) and partners (for LPs). Wise v. Wachovia Securities, LLC, 450 F.3d 265, 267 (7th Cir. 2006) (discussing citizenship of LLCs); Guar. Nat. Title Co. v. J.E.G. Assocs., 101 F.3d 57, 58 (7th Cir. 1996) (discussing citizenship of limited partnerships). There is no allegation in the complaint identifying all of the members of the Plaintiff LLC or their citizenship. The complaint might provide more information on the Defendant's partners, but not enough. It alleges that Safanad is comprised of two "owner[s]": Safanad, a portfolio company of a private equity firm, and Formation Capital. Compl. Para. 10. If those are the partners, then the allegation is deficient because it does not state the citizenship of either Safanad or Formation Capital. If those are not the partners, then the partners (and their citizenship) must be alleged. Accordingly, on or before 04/01/2019, Plaintiffs should either file an amended complaint fixing these problems, or otherwise file a memorandum explaining why the current complaint sufficiently alleges jurisdiction. An initial status hearing is set for 06/17/2019 at 9:30 a.m., with a joint initial status report due three business days in advance of the hearing.
