Plaintiffs filed suit, D. 1, and moved to compel arbitration and stay the proceeding pursuant to Financial Industry Regulatory Authority ("FINRA") Rule 13200(a) and/or the arbitration agreement contained in the Selling Agreement, D. 21. This Court previously allowed the motion to compel arbitration and stay court proceedings on the basis that the parties had entered into a valid contract to arbitrate claims and that compelling arbitration for non-FINRA members was consistent with the FINRA rules. D. 28.Defendants Ohio National Life Insurance Company ("ONLIC") and Ohio National Life Assurance Corporation ("ONLAC") now seek interlocutory appeal moving to reopen the case and requesting this Court to certify its order for interlocutory appeal pursuant to 28 U.S.C. 1292(b). D. 30. ONLIC and ONLAC assert that "the key issue to be certified for appeal is whether a party that is not a FINRA member can be compelled to arbitration pursuant to an arbitration agreement that incorporates FINRA rules." D. 39 at 3."Interlocutory appeals under 1292(b) require an order (1) 'involv[ing] a controlling question of law,' (2) 'as to which there is substantial ground for difference of opinion,' and (3) for which 'an immediate appeal from the order may materially advance the ultimate termination of the litigation.'" Caraballo-Seda v. Municipality of Hormigueros, 395 F.3d 7, 9 (1st Cir. 2005) (citing 28 U.S.C. 1292(b)). The First Circuit has "repeatedly emphasized that 'interlocutory certification under 28 U.S.C. 1292(b) should be used sparingly and only in exceptional circumstances, and where the proposed intermediate appeal presents one or more difficult and pivotal questions of law not settled by controlling authority.'" Id. (quoting Palandjian v. Pahlavi, 782 F.2d 313, 314 (1st Cir. 1986)). It has described appeals under 1292(b) as "hen's-teeth rare." Camacho v. P.R. Ports Auth., 369 F.3d 570, 573 (1st Cir. 2004); see Lawson v. FMR, LLC, 724 F.Supp.2d 167, 168 (D. Mass. 2010). Even assuming arguendo that the first 1292(b) factor is satisfied here, the Court does not find that the latter two factors are met. For the reasons set forth in this Court's Memorandum and Order, D. 28 at 10-15, the Court does not agree that there is "substantial reasonable ground for difference of opinion" on the issue of compelling arbitration as to ONLIC and ONLAC given the circumstances, fully considered by this Court, in this case. Moreover, the Court does not conclude that allowing an interlocutory appeal will materially advance the termination of the litigation. See D. 34 at 15-16. Accordingly, this is not the extraordinary case where interlocutory appeal is warranted and the Court DENIES ONLIC and ONLAC's motion to reopen. D. 30. (Hourihan, Lisa) |
