| Filing 19 Judge Richard G. Stearns: ELECTRONIC ORDER entered denying #16 Motion to Dismiss for Failure to State a Claim.Plaintiff Alexandria Real Estate Equities, Inc. (ARE) filed this action against its former employee, William DePippo, alleging trade secret misappropriation (Count I), breach of contract (Count II), and breach of fiduciary duty (Count III). DePippo moves to dismiss for failure to state a claim. For the following reasons, the court will deny the motion. The portion of the motion seeking to dismiss the request for attorneys' fees and double damages is premature. It is not clear from the face of the First Amended Complaint (FAC) that either remedy is unavailable here.Counts I, II, and III are sufficiently pled. The FAC alleges that, around the same time he expressed an intent to start his own company and took concrete steps to find employment elsewhere, DePippo furtively (and without explanation) downloaded hundreds of confidential documents under the guise of an alias. These allegations suffice to plausibly establish acquisition by improper means in violation of the DTSA and DePippo's fiduciary obligations to ARE, and an imminent threat of use or disclosure in violation of his contractual duties. (And with respect to Count II, these allegations further plausibly establish breach of the contractual duties to "hold in strictest confidence... the Company's Proprietary Information," [Dkt # 10-1] 1.1, and return all company documents and files, see id. 8.). At this early stage in the proceedings, no more is needed. (RGS, law3) |
