For the foregoing reasons, the Court grants Defendants' motion to dismiss Plaintiffs' federal claims brought pursuant to the Securities Act and declines to exercise supplemental jurisdiction over Plain tiffs' remaining state law claims. As further stated, Plaintiffs are granted leave amend to correct the deficiencies noted in this Memorandum and Order. Accordingly, Defendants' motion will be granted in its entirety, without prejudice to r enewal after Plaintiffs' amendment. Plaintiffs shall file their second amended complaint no later than Monday, February 22, 2010. The Clerk of Court is instructed to terminate the motion located at docket number 38.
