November 30, 2012 Opinion or Order Filing 40 ORDER: that this action be conditionally discontinued without prejudice and without costs; provided, however, that within thirty (30) days of the date of this Order, the parties may submit to the Court their own Stipulation of Settlement and Dismissal for the Court to So Order. Otherwise, within such time Plaintiffs may apply by letter for restoration of the action to the active calendar of this Court in the event that the settlement is not consummated. Upon such application for reinstatement, Defendants shall continue to be subject to the Court's jurisdiction, the Court shall promptly reinstate the action to its active docket, and the parties shall be directed to appear before the Court, without the necessity of additional process, on a date within ten days of the application, to schedule remaining pretrial proceedings and/or dispositive motions, as appropriate. This Order shall be deemed a final discontinuance of the action with prejudice in the event that Plaintiffs have not requested restoration of the case to the active calendar within such thirty-day period. Franzone and 10 E. Resort Development Corp. are hereby DISMISSED for lack of subject matter jurisdiction. Based on the docket, there is also no indication that defendants Able Energy, Inc., Abel Oil Company, Frank Nocito and Westerly Acquisition Corp. have ever been served; they have not appeared in this action. As more than 120 days have elapsed since plaintiffs filed their amended complaint on January 14, 2011, plaintiffs' claims against those defendants are also DISMISSED, pursuant to Federal Rule 4(m).The Clerk of the Court is directed to close this action. July 27, 2012 Opinion or Order Filing 34 MEMORANDUM AND ORDER. For the aforementioned reasons, defendant Frost's motion to dismiss the Amended Complaint is GRANTED. The control person liability claim against Frost is dismissed with prejudice. The parties should not construe the dismissal of the control person liability claim against Frost as condoning the conduct in which Frost is alleged to have engaged. Quite simply, the allegations do not support the claim asserted against Frost in the Amended Complaint. The allegations may support other claims against Frost-., breach of contract. Plaintiffs should assess (in timely fashion) what, if any, action they should take in light of the Court's decision on the motion to dismiss. No later than August 3, 2012, plaintiffs must submit a letter in accordance with Rule 6(C) of Judge Forrest's Individual Practices in Civil Cases, regarding both S&S's principal place of business and setting forth the citizenship of each member of the LLC.
