STIPULATION AND ORDER STAYING ACTION: NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED by and between the Parties, through their respective undersigned attorneys, subject to the Court's approval, as follows: 1. This Action, including all deadlines and hearings, shall be stayed until the earliest of (a) an order denying any Motion to Dismiss the Securities Action in its entirety or an order granting any Motion to Dismiss the Securities Action in its entirety with prejudice, including resolution of any appeal of any decision on the Motion to Dismiss; (b) a joint request by Plaintiff and Defendants to lift this stay; (c) notification that a related derivative action that has been filed is not stayed or is no longer stayed; (d) notification that a settlement has been reached in the Securities Action or any related derivative action; or (e) an order of this Court lifting the stay ordered hereunder. Defendants shall have no obligation to answer, move against, or otherwise respond to the Complaint during the pendency of the stay 2. Notwithstanding the stay of this Action, Plaintiff may file an amended complaint; provided, however, Defendants shall not be required to move, answer, plead, or otherwise respond to the complaint (or any amended complaint) during the pendency of the stay. 3. Defendants shall produce to Plaintiff any written discovery in any related derivative actions, as well as any documents produced to shareholders in response to a related litigation demand or books and records demand, in each case subject to the same confidentiality agreement or protective order for those productions 4. Defendants shall invite Plaintiff to participate in any mediation and/or formal settlement talks between the parties to the Securities Action, or shall mediate with Plaintiff within thirty (30) days of the initial mediation session in the Securities Action. 5. Defendants shall invite Plaintiff to participate in any mediation and/or formal settlement talks between the parties to any related actual or threatened derivative actions. 6. Promptly following the termination of the stay, the Parties shall meet and confer regarding, as applicable, Plaintiff's deadline to file an amended complaint; Defendants' deadline to answer, move against, or otherwise respond to the Complaint or any amended complaint; and a briefing schedule for any motion to dismiss. After conferring, the Parties shall jointly submit a proposed scheduling order within ten (10) days following the termination of the stay (or, if noagreement can be reached, then competing proposed scheduling orders).7. The Parties reserve their rights to submit to the Court a stipulation to extend thestay set forth in this Stipulation, to make an application to the Court for a further stay or toterminate the same, or to oppose any such application.8. Nothing herein shall be construed as a waiver of any Party's rights or positions inlaw or in equity, or as a waiver of any defenses that any Party would otherwise have (including,without limitation, any arguments or defenses relating to the proper venue or the forum for thisAction), and the Parties reserve all such rights.
