Opinion and Order: The Court finds as follows: MTH's motion for judgment on the pleadings on its claim for declaratory judgment is granted; MTH's motion for judgment on the pleadings on Count I of OTC's counterclaim is granted i n part, and denied in part, as explained in this Opinion and Order. The Court declares that the entirety of the Indemnity Reserve identified in the parties' Asset Purchase Agreement is due and owing to MTH; and hereby orders JPMorgan, as escrow agent, to release the Indemnity Reserve to MTH. (Related Doc # 15 , 16 ). Judge Sara Lioi on 1/15/2015. (P,J)
