Further, the court concl udes that Encompass has stated state law claims for breach of contract and quantum meruit to the extent they are based on non-ERISA governed plans; however, Encompass's quantum meruit claim that is dependent on alleged ERISA plan terms is completely preempted under ERISA and dismissed with prejudice.
