December 14, 2016	Filing 69 ORDER granting in part 56 Motion for Partial Summary Judgment. The D&O Policy's personal profit exclusion applies and coverage is precluded only as to the claim of conversion for $14,264.17 against Johnson. Based on the Court's ana lysis, Federated is still under a duty to advance defense costs as they are incurred as to the remaining covered claims. IT IS FURTHER ORDERED that because this Order serves as a judgment as to the entire declaratory action regarding Federated' s defense and indemnity obligations, and provides guidance to the parties as they proceed, this case is CLOSED. Clerk of Court is instructed to enter judgment in favor of Defendant Federated precluding coverage for the claim of conversion for $14,264.17, and in favor of Plaintiff Johnson regarding coverage for all other claims in the underlying litigation.
