Filing 43 OPINION & ORDER: For the foregoing reasons, Defendants motion to dismiss pursuant to Federal Rules of Civil Procedure 9(b), 12(b)(4), 12(b)(5) and 12(b)(6) is granted only to the extent that: (i) Defendants Rule 12(b)(5) motion is granted as to defen dants Elias and Tokayer; (ii) Defendants Rule 12(b)(6) motion is granted insofar as Plaintiffs Section 10(b), Section 20(a), and common law fraud claims against defendants Elias and Tokayer are dismissed; and (iii) Defendants Rule 12(b)(6) motion is granted insofar as Plaintiffs Section 20(a) claims against defendants Cardis N.V., Cardis U.S.A., and Fischman are dismissed.
