NOW, THEREFORE, IT IS HEREBY ORDERED: All terms in initial capitalization used in this Order shall have the same meanings as set forth in the Settlement Agreement, unless otherwise noted or defined herein. Upon review of the record, the Court preliminarily finds that the Settlement Agreement resulted from arm's-length negotiations between highly experienced counsel and falls within the range of possible approval. The Court hereby preliminarily approves the Settlement Agreement, subject to further consideration at the Fairness Hearing described below. The Court preliminarily finds that the Settlement encompassed by the Settlement Agreement raises no obvious reasons to doubt its fairness and provides a reasonable basis for presuming that the Settlement Agreement satisfies the requirements of Rules 23(c)(2) and 23(e) of the Federal Rules of Civil Procedure and due process so that an appropriate notice of the Settlement Agreement should be given, subject to the Court's approval of a notice plan as provided in this Order. The preliminary appointment of Lead Counsel for the Settlement Class in the May 2016 Order, solely for settlement purposes, is extended to this settlement. The preliminary appointment of Alaska Electrical Pension Fund; City of New Britain, Connecticut; Genesee County Employees' Retirement System; County of Montgomery, Pennsylvania; and County of Washington, Pennsylvania, in the May 2016 Order, solely for settlement purposes, as class representatives for the Settlement Class, is extended to this settlement; as further set forth herein. The Settling Defendant has denied wrongdoing or liability in connection with the allegations in the Action. As such, nothing in the Settlement Agreement constitutes an admission by the Settling Defendant as to the merits of the allegations made in the Action, the validity of any defenses that could be or have been asserted, or the appropriateness of certification of any class other than the Class under Fed. R. Civ. P. 23 for purposes of settlement only. All proceedings in the Action with respect to the Settling Defendant are stayed until further order of the Court. Such stay does not apply, however, to the extent actions are necessary to implement the terms of the Settlement Agreement or comply with its terms. Unless and until the Court orders otherwise, Plaintiffs and the Settling Defendant shall comply with any and all deadlines previously set with respect to the settlements preliminarily approved in the May 2016 Order. Filing 58 CONSOLIDATION ORDER: On October 31, 2014, Plaintiffs in the five above- captioned cases filed a consolidated class action complaint. (14-CV-7126, Docket No. 99). Four of the cases (14-CV-7126, 14-CV-7907, 14-CV-8342, 14-CV-8365) had already been consolidated for all purposes. Given the consolidated class action complaint, the fifth case 14-CV-8576 is hereby consolidated with the other four as well. In addition, the Court previously denied without prejudice a motion by Quinn Emanuel, Scott+Scott, and Robbins Geller Rudman & Dowdin in Case Nos. 14-CV-7126 and 14-CV-7907 to be appointed co-lead counsel. The undersigned counsel for Defendants acknowledge service of the Alaska Electrical and Beaver County Complaints on their respective clients. In so acknowledging, counsel for Defendants are not agreeing to accept service of process on behalf of their respective clients. 4. In light of the substantial similarity in the factual and legal issues alleged in the Alaska Electrical and Beaver County Complaints, the Related Actions shall be consolidated for all purposes under Federal Rule of Civil Procedure 42(a). 5. Not later than October 31, 2014, Plaintiffs' Counsel shall either identify an Operative Complaint or file a Consolidated Complaint. Defendants' deadline to answer, move, or otherwise respond to the Operative or Consolidated Complaint shall be December 12, 2014. In the event Defendants move to dismiss the Operative or Consolidated Complaint, Plaintiffs' deadline to file their opposition to the motion or submit an amended complaint pursuant to Federal Rule of Civil Procedure 15(a) shall be January 23, 2015. In the event Plaintiffs file an opposition to the Defendants' motion(s), Defendants' deadline to file their reply shall be February 25, 2015. The deadlines set forth herein will provide Defendants with the time needed to consolidate their arguments into consolidated moving and reply briefs to the extent possible, although individual Defendants may file separate briefs presenting arguments not contained in any consolidated brief. 6. Except as to the defense of insufficiency of service of process in this action, no defense of any of the Defendants, including without limitation, defenses based upon lack of personal jurisdiction, is prejudiced or waived by such Defendant's executing, agreeing to, joining or filing this Stipulation. IT IS SO STIPULATED. With respect to any motion to dismiss, each side shall file consolidated briefs (i.e., on behalf of all parties), unless the Court grants leave to any individual party or parties on good cause shown (by letter motion filed on ECF) that a separate or supplemental brief is necessary to present an argument or arguments not presented in the consolidated brief. The parties shall confer with respect to the page lengths of any briefs and, if they believe that the number of pages permitted under the Local Rules is inadequate, shall file a joint letter motion seeking leave to file longer briefs.
