In their Complaint (DE #1 ), Plaintiffs assert that this Court has subject matter jurisdiction over this case based on diversity but does not allege the facts necessary to plead diversity. Specifically, the party asserting diversity must provide the citizenship of all the members of a limited liability company ("LLC") party. See Carden v. Arkoma Assocs., 494 U.S. 185, 195-96 (1990). Defendants Rasier, LLC and Rasier-CA, LLC are LLCs. (DE #1 at para. 7). Although Plaintiffs state that "[b]oth Rasier[,] LLC and Rasier-CA, LLC have their principal place of business in San Francisco, California, and conduct business throughout the United States," they do not state how many members are in the LLCs or provide the citizenships of those members (see id.), which is necessary to determine their citizenship for purposes of diversity. Therefore, on or before November 12, 2021, Plaintiffs shall file an Amended Complaint that clearly states the members of the LLCs and their citizenships, see 28 U.S.C. 1332(c)(1), and therefore clearly establishes diversity jurisdiction.
