For the reasons stated on the record, it is ORDERED:Plaintiff's Motion for Leave to Amend Complaint [ECF No. 20] is GRANTED. "Denying a motion to amend based on futility is uncommon in this District and usually involves claims that are facially unsupported in the proposed amendment." Electro-Mechanical Prods., Inc. v. Alan Lupton Assocs. Inc., No. 22-cv-00763-PAB-SP, 2023 WL 5152627, at *3 (D. Colo. July 10, 2023). The court cannot find, at this juncture, that Plaintiff's claims are facially unsupported. Moreover, while futility arguments sometimes may be effectively addressed in connection with a motion for leave to amend a pleading, such as when jurisdiction is at issue, in most situations futility arguments are best reserved for a motion to dismiss. See Godfrey v. United States, No. 07-cv-02165-MSK-MEH, 2008 WL 80302, at *2 (D. Colo. Jan. 7, 2008); cf. Mason v. Fantasy, LLC, No. 13-cv-02020-RM-KLM, 2016 WL 11697062, at *3 (D. Colo. May 23, 2016) (denying motion on futility grounds where the court lacked original and supplemental jurisdiction over a proposed fraudulent conveyance claim). Here, the court finds that Defendants' futility arguments are better addressed by means of a motion to dismiss. Additionally, the court does not find, at this early stage of the case, any indication of undue delay, bad faith, or dilatory motive by Plaintiff, or that Defendants are unduly prejudiced by the proposed amendment. See Frank v. U.S. West, Inc., 3 F.3d 1357, 1365 (10th Cir. 1993).Defendants shall file their Answer or otherwise respond to the Amended Complaint on or before July 2, 2025.Accordingly, Defendants' Motion to Dismiss #17 is DENIED as moot.A Motion to Stay Discovery, if any, shall be filed on or before July 2, 2025. A response will be due within 21 days of any such motion filed.The Scheduling Conference previously set for July 7, 2025, along with all related deadlines, is VACATED, to be reset at a later date if necessary.
