MINUTE ORDER This matter is before the Court on #23 Corporate Disclosure. In actions where jurisdiction is based on diversity under 28 U.S.C. 1332(a), parties must file a disclosure statement that identifies the citizenship of every individual or entity whose citizenship is attributed to the party. Fed. R. Civ. P. 7.1(a)(2). Where a party is an unincorporated association such as a limited liability company (LLC), the party must disclose the citizenship of all of its members. Siloam Springs Hotel, L.L.C. v. Century Sur. Co., 781 F.3d 1233, 1238 (10th Cir. 2015). Moreover, "[w]here the member of an unincorporated association is also an unincorporated association, the citizenship of the member unincorporated association must be traced through however many layers of partners or members there may be to determine the citizenship of the unincorporated association party" Prestige Mfg. Co., LLC v. Gault, No. CIV-20-56-R, 2020 WL 1030902, at *2 (W.D. Okla. Mar. 3, 2020). Here, Defendants have identified Nations Roof of Colorado, LLC as a subsidiary of Nations Roof Company, LLC, but describe the latter as a corporation organized and existing under the laws of the State of Delaware. It is not clear to the Court whether the Defendants are LLCs or a corporation based on the language in their disclosure. If either entity is an LLC, the current disclosure is deficient for failing to identify all members and their respective citizenships. Accordingly, the parties are ORDERED to file corrected Disclosure Statements that comply with Rule 7.1(a)(2) and the case law cited above on or before 8/27/2025.
