ORDER by Magistrate Judge Susan Prose on 05/27/2026. The complaint asserts that Plaintiff's principal place of business is Florida (ECF No. #6 at 3.), and Defendant's #3 Corporate Disclosure Statement indicates its principal place of business is Nevada. However, for purposes of diversity jurisdiction, the citizenship of a limited liability company or an unincorporated trust is determined, not by its state of organization or principal place of business, but by the citizenship of all of its members. See Siloam Springs Hotel, LLC v. Century Sur. Co., 781 F.3d 1233, 1237-38 (10th Cir. 2015) ("[I]n determining the citizenship of an unincorporated association for purposes of diversity, federal courts must include all the entities' members."); see also Americold Realty Trust v. Conagra Foods, Inc., 577 U.S. 378, 379 (2016). Based on the parties' representation that the court has diversity jurisdiction pursuant to 28 U.S.C. 1332, Federal Rule of Civil Procedure 7.1(a)(2) requires that each party file a disclosure of its citizenship. Rule 7.1, as amended in December 2022, states that, "[i]n an action in which jurisdiction is based on diversity under 28 U.S.C. 1332(a), a party... must, unless the court orders otherwise, file a disclosure statement. The statement must name and identify the citizenship of every individual or entity whose citizenship is attributed to that party... when the action is filed in or removed to federal court." Fed. R. Civ. P. 7.1(a)(2).Accordingly, on or before June 9, 2026, Defendant shall amend its #3 Corporate Disclosure Statement, and Plaintiff shall file a corporate disclosure statement in accordance with Rule 7.1. Each of the filings shall include names and identify the citizenship of every individual or entity whose citizenship is attributed to the LLC, with sufficient factual allegations to allow the court to satisfy itself as to its own jurisdiction. The remainder of the motion is taken under advisement. While the Court does not find an ex parte TRO is appropriate in this case, the Court intends to resolve Defendants' request for preliminary injunctive relief promptly. It is ORDERED that the Parties SHALL again confer regarding the TRO/PI Motion (including the specific relief it seeks) no later than Wednesday, January 7, 2026.
