June 20, 2019 Opinion or Order Filing 80 ORDER. For the reasons set forth in the attached, KLP's #66 motion to strike Sassani's jury demand is GRANTED in part and DENIED in part, as follows. KLP has shown that the jury trial waivers in the Note, Pledge Agreement, and Security Agreement are enforceable because Sassani entered into them knowingly, intentionally, and voluntarily. KLP has also shown that the jury trial waivers encompass its claim for breach of the note and Sassani's counterclaims for breach of the implied covenant of good faith and fair dealing (Count Two), breach of the Amended Voting Agreement (Count Five), and violation of the UCC (Count Six). Accordingly, KLP's motion to strike is granted with respect to those claims and counterclaims. However, KLP has failed to carry its burden with respect to Sassani's counterclaim for tortious interference with contractual relations (Count Three). KLP's motion for default judgment is denied. KLP is entitled to judgment in its favor on Sassani's breach of fiduciary duty counterclaim. KLP is not entitled to summary judgment on KLP's breach of note claim or Sassani's remaining counterclaims. Sassani is ordered to show cause within 14 days of this decision why his declaratory judgment counterclaim should not be dismissed. Finally, because it appears that Sassani did not act reasonably promptly in securing substitute counsel or seek more time from the Court before doing so, but instead filed an opposition brief pro se, thereby prompting KLP to file a reply brief, it appears that KLP has been prejudiced by Sassani's actions. Specifically, Sassani secured new counsel several months late, the Court permitted new counsel to file an additional brief out of time, and KLP was required to file a second reply. It thus appears that KLP has had to incur unnecessary expense and delay. August 21, 2017 Opinion or Order Filing 28 ORDER. The Court held a Rule 16(b) conference today by telephone with the parties. This memo summarizes the discussion and the orders Court made on the call. The defendant stated that he is likely to file counterclaims in this action, because a related state case brought by the defendant in California has recently been dismissed for lack of jurisdiction with respect to KLP. The Court ordered the defendant to file an answer, including these counterclaims, within 30 days (on or before September 21). Then, the Court instructed that, if additional parties are served with these counterclaims and counsel appears in the time specified by the Federal and Local Rules, any new counsel shall review the case schedule, confer with all other counsel, and then file any proposed modifications to the schedule within 14 days of the date of appearance.
