Filing 425 ORDER: In its previous Ruling and Order on Pending Motions, see ECF No. 326, the Court granted, in part, Mr. Luck's motion for a protective order, ECF No. 186, as to the disclosure of information obtained from Mr. Luck's Alpha-issued iPhone until the Court had an opportunity to determine, upon ruling on the parties' dispositive motions, this information's relationship, if any, to the Defendants' defense. See ECF No. 326 at 50-51. In light of the dismissal from the case of any claims related to the Alpha-issued iPhone, see ECF No. 423, and consistent with the Court's "inherent authority to manage [its] docket[] and courtroom[] with a view toward the efficient and expedient resolution of cases," Dietz v. Bouldin, 136 S. Ct. 1885, 1892 (2016), as well as its obligation to ensure "a fair trial, both in civil and criminal cases" and therefore "adopt reasonable measures to avoid injuries to the parties by reason of prejudicial or inflammatory publicity," Schiller v. City of New York, No. 04-CV-7921 (KMK) (JCF), 2007 WL 1299260, at *2 (S.D.N.Y. May 4, 2007) (quotation marks and citation omitted), the Court will adopt reasonable and narrowly tailed measures regarding the information obtained from Mr. Luck's Alpha-issued iPhone in this case. Cf. United States v. Salameh, 992 F.2d 445, 447 (2d Cir. 1993) ("[T]he district court may...determine, after proper notice to the parties and an opportunity to be heard, that circumstances exist requiring the imposition of restrictions designed to protect the integrity of the judicial system and the rights of the defendants to a fair trial, and enter an order that is no broader than necessary to achieve those ends."); Sargeant v. Serrani, 866 F. Supp. 657, 663 (D. Conn. 1994) (evidence of plaintiff's termination or the process he received "concerned a collateral issue that would have confused the jury unnecessarily" and "thus was properly excluded"). Until the conclusion of the jury trial on the issues remaining in this case, or until such time as the parties otherwise reach a resolution of the dispute, the information obtained from Mr. Luck's Alpha-issued iPhone shall remain subject to the protective order and under seal, except for any information obtained from Mr. Luck's Alpha-issued iPhone related to Mr. Luck's hiring and termination of Mr. Callaway. These factors weigh in favor of reopening discovery to permit Mr. Luck to take a deposition of Cindy Wagner regarding her statements in Privilege Log Entries 80-89, which Defendants improperly withheld as protected by attorney-client privilege. Mr. Luck is not entitled, however, to take another deposition of Jeffrey Pollack. Privilege Log Entries 80-89 indicate that Mr. Luck forwarded the e-mail chain discussing the player criteria to Mr. Pollack, who in turn requested guidance on public statements regarding the criteria. In view of this brief exchange, and the fact that Mr. Luck already has asked Mr. Pollack about the player criteria during a prior deposition, a further deposition is not "proportional to the needs of the case...." Fed. R. Civ. P. 26(b)(1). Accordingly, the Court GRANTS Mr. Luck's motion to reopen discovery as to Ms. Wagner and DENIES the motion as to Mr. Pollack. Filing 352 ORDER. In its Ruling and Order on Pending Motions, ECF No. #326 , the Court ordered Defendants to submit a subset of documents to the Court for in camera review. The Court finds that Defendants may not assert the attorney-client privilege with respect to these communications as to Mr. Luck. Courts within this Circuit have recognized the general "doctrine that treats a director and a corporation as 'joint clients' of the company's attorneys for purposes of privilege claims." Sampedro v. Silver Point Cap., L.P., 818 Fed. Appx. 14, 18 (2d Cir. 2020) (quoting Newmarkets Partners, LLC v. Sal. Oppenheim Jr. & Cie. S.C.A., 258 F.R.D. 95, 104 (S.D.N.Y. 2009)). "When two or more persons... jointly consult an attorney, their confidential communications with the attorney... will of course be privileged in a controversy of either or both of the clients with the outside world." Newmarkets Partners, LLC, 258 F.R.D. at 104 (internal quotation marks and citation omitted). "However, where the two original clients... fall out between themselves and become engaged in a controversy," the privilege is inapplicable. Id. (internal quotation marks and citation omitted). Each of the challenged communications submitted by Defendants for in camera review was sent or received by Mr. Luck in the course of his employment as Commissioner and CEO of the XFL. His relationship to the XFL, moreover, "fits the analogy to a party who becomes adverse to former co-clients." Id. at 105. While Defendants may have a basis for withholding these documents from third parties, they may not assert the attorney-client privilege in order to withhold these communications from Mr. Luck. Accordingly, the Court GRANTS Mr. Luck's motion to compel, ECF No. #158 , as to Privilege Log Entries 33, 37, 123-124, 201, 230, 347, 349, 351, and 362-364. Defendants shall disclose these documents, unredacted, to Mr. Luck by October 15, 2021. Because "adversity between former co-clients does not eliminate assertions of privilege or work-product protection against third parties," Mr. Luck may not disseminate to other parties confidential information he has received as Commissioner and CEO of the XFL. Newmarkets Partners, LLC, 259 F.R.D. at 105. Thus, the Court sua sponte issues a protective order prohibiting the disclosure of the documents listed above to third parties, except to counsel of record and their associates, paralegals, and regularly employed office staff for the purposes of this litigation. Ct. 1885, 1892 (2016) ("[D]istrict courts have the inherent authority to manage their dockets and courtrooms with a view toward the efficient and expedient resolution of cases."), the Court hereby orders the following: First, as to the outstanding discovery disputes, ECF Nos. #106 , #107 , #108 , #110 , #136 , #137 , the parties will have until January 15, 2021 to file any further responses.Second, following any additional filings by January 15, 2021, the Court will resolve the outstanding discovery disputes, including the issue as to the passcode to Mr. Luck's XFL-issued cellphone, based on the parties' written submissions without any further oral argument.Third, following the resolution of these outstanding discovery issues, for any further discovery disputes between the parties, the Court will suspend its Chambers Practice of requiring discovery conferences before the filing of motions to compel or motions for protective orders. The parties may file such motions without a discovery conference, and the Court will address any such motions based on the parties' written submissions alone, and to the extent appropriate, will issue sanctions in the form of attorney's fees and expenses to the losing party. Fourth, as to the outstanding and dueling motions for a prejudgment remedy, the Court will give the parties until January 22, 2021 to determine if these motions can be mooted out by stipulation. If these motions can be mooted out by a stipulation entered into by both parties by January 22, 2021, the Court will give the parties until thirty (30) days after the Court's ruling on the outstanding discovery motions to submit a proposed and expedited schedule for the trial of this case, perhaps as early as the end of this year. Due to the parties' failure to reach an agreement regarding the spoliation stipulation ordered by the Court, see ECF No. 111, and the misrepresentations or misunderstandings of Plaintiff's counsel at the Discovery Conference on December 17, 2020 as to the previous deletion of information on the Alpha-issued cellphone, the Court orders that Plaintiff's counsel obtain the passcode and provide it to Defendants' counsel by December 24, 2020 at 12:00 p.m. in order to properly preserve the evidence on the cellphone while the underlying merits of the passcode issue are considered. See Dietz v. Bouldin, 136 S. Ct. 1885, 1892 (2016) ("[D]istrict courts have the inherent authority to manage their dockets and courtrooms with a view toward the efficient and expedient resolution of cases.").The issue of whether any information obtained from the cellphone can be used in the litigation or is properly discoverable will await the Discovery Conference on January 12, 2021 and possibly other proceedings. During the interim period before the January 12, 2021 Discovery Conference, Defendants shall designate a technology professional who will ensure the preservation of the information on the cellphone. This designee shall not share the information on the cellphone with any other persons, including counsel for Defendants, or otherwise alter the information preserved on the cellphone, unless or until instructed by the Court. Counsel for Defendants shall submit a declaration confirming compliance with this order by January 8, 2021.
