August 19, 2021 Opinion or Order Filing 6 ORDER. Federal courts may take up the question of their subject matter jurisdiction at any time. See Transatlantic Marine Claims Agency, Inc. v. Ace Shipping Corp., 109 F.3d 105, 107 (2d Cir. 1997). "Indeed, even if no party raises the issue, courts have an obligation to consider subject matter jurisdiction sua sponte." Vera v. Banco Bilbao Vizcaya Argentaria, S.A., 946 F.3d 120, 135 (2d Cir. 2019). The Plaintiffs bring this action asserting diversity jurisdiction. For diversity jurisdiction to exist, all of the adverse parties in a suit must be completely diverse with regard to citizenship." E.g., E.R. Squibb & Sons, Inc. v. Accident & Cas. Ins. Co., 160 F.3d 825, 930 (2d Cir. 1998); see also 28 U.S.C. s 1332(a)(1). When a corporation is a party in a suit premised upon diversity jurisdiction, "a corporation shall be deemed to be a citizen of every State... by which it has been incorporated and of the State... where it has its principal place of business." 28 U.S.C. s 1332(c)(1) (emphasis added). Here, Plaintiffs have not identified the citizenship of Hampton Products International Corporation ("Hampton") insofar as they have provided neither Hampton's principal place of business nor its state of incorporation. Plaintiffs' allegations that Hampton is registered to conduct business in Connecticut and that it shares a mailing address with Keeper Corporation is not sufficient to invoke diversity jurisdiction. As a result, the Court cannot determine whether Plaintiffs are completely diverse from both Defendants. On or before September 4, 2021, the Plaintiffs shall file a Notice with the Court which Notice shall indicate the corporate citizenship of Hampton. Failure to do so may result in dismissal of this action without prejudice for failure to properly invoke diversity jurisdiction. Signed by Judge Kari A. Dooley on 8/19/2021. (Banker, Joshua)
