December 16, 2022 Opinion or Order Filing 43 ORDER granting #33 granting #33 Defendant's motion in limine, as explained during the status conference on December 15, 2022. Specifically, Plaintiff's complaint, ECF No. [1-1], contends that that Defendant's termination of the parties' franchise agreement violated both the substantive and procedural protections of the Connecticut Franchise Act ("CFA"), Conn. Gen. Stat. 42-133e et seq. To prevail on its motion for a preliminary injunction, Plaintiff will need to show either likelihood of success or serious questions on the merits, with respect to either the CFA's substantive or procedural protections, in addition to the other requirements set forth by the Second Circuit. See Moore v. Consol. Edison Co. of N.Y., 409 F.3d 506, 510 (2d Cir. 2005). In its brief in support of the motion, and again during the conference yesterday, Plaintiff argued that it had demonstrated likelihood of success on the merits with respect to the procedural defects in Defendant's termination of the franchise agreement. Indeed, in its brief in support of its motion for a preliminary injunction, Plaintiff argued, "[t]here will be a time and place to argue" whether Defendant had good cause to terminate the franchise agreement, but "it is unnecessary to do so at this time." ECF No. 15 at 8 (emphasis added). That representation, plus Plaintiff's lack of meaningful discussion in its brief regarding the substantive good cause standard under the CFA, clearly limits Plaintiff's basis for pursuing a preliminary injunction to the merits of the CFA's procedural protections. Presenting evidence that the termination lacked good cause in the evidentiary hearing, when such argument was effectively abandoned for the purpose of the preliminary injunction motion, would unfairly sandbag Defendant. Thus, Plaintiff will not be permitted to introduce evidence that the termination lacked good cause in support of its motion for a preliminary injunction. Because Plaintiff has limited itself to the CFA's procedural protections, Defendant likewise will not be permitted to introduce evidence that the termination was supported by good cause, as such argument would not obviate any procedural defectiveness of the termination. See Petereit v. S.B. Thomas, Inc., 63 F.3d 1169, 1185, 1187 (2d Cir. 1995) (concluding that the franchisor's termination was supported by good cause but violated the CFA's procedural notice requirement and awarding damages). In sum, neither party will be permitted to present evidence regarding whether the termination was supported by good cause at the evidentiary hearing on Plaintiffs motion for a preliminary injunction. The parties can litigate the good cause issue at a later stage in the case. An evidentiary hearing on the pending motion for a preliminary injunction, ECF No. #6 , is scheduled for January 19, 2023, at 10:00 a.m. By January 4, 2023, Defendant shall file its brief in opposition to Plaintiff's motion for a preliminary injunction. By January 11, 2023, Plaintiff shall file its reply brief in support of its motion for a preliminary injunction, if desired. Also by January 11, 2023, the parties shall file: (1) a joint stipulation of undisputed facts, and (2) separate notices containing listing any witness and exhibits they desire to present for the Court's consideration. If the parties represent that the facts are largely undisputed, or rest on documentary evidence whose admissibility is not challenged, the Court may convert the hearing to an oral argument on the motion for a preliminary injunction. In addition, based on the parties' consent, the Court will refer this case to a U.S. Magistrate Judge for the purpose of conducting a settlement conference on January 13, 2023.
