Filing 12 ORDER. The Complaint (Doc. No. #1 ) does not state an adequate basis for the court's subject matter jurisdiction. "Because of the limited jurisdiction of the federal courts... it is incumbent upon th[e] court to raise the question of subject matter jurisdiction sua sponte whenever it appears from the pleadings or otherwise that jurisdiction is lacking." John Birch Soc. v. Nat'l Broad. Co., 377 F.2d 194, 199 (2d Cir. 1967); see Fed. R. Civ. P. 12(h)(3). The Complaint alleges that the plaintiff is "an unincorporated association with [a] principal place of business in London, England." Compl. at 2. But, "[u]nlike a corporate entity whose citizenship is determined by its place of incorporation or its principal place of business, the citizenship of an unincorporated association... is determined by the citizenship of each of its members." United Food & Com. Workers Union, Loc. 919, AFL-CIO v. CenterMark Properties Meriden Square, Inc., 30 F.3d 298, 302 (2d Cir. 1994). Therefore, to allege diversity jurisdiction, the plaintiff must identify and allege the citizenship of all of its members. "[T]he party who seeks the exercise of jurisdiction" in federal court "must allege in his pleading the facts essential to show jurisdiction." McNutt v. General Motors Acceptance Corp., 298 U.S. 178, 189 (1936). Accordingly, within 14 days of this order, the plaintiff shall file either an amended complaint or a statement on the docket adequately alleging its citizenship. Failure to respond to this order or to adequately allege citizenship for the purposes of diversity jurisdiction as required by this order will result in dismissal of this case for lack of subject matter jurisdiction.
