February 14, 2022 Opinion or Order Filing 46 ORAL ORDER: Having reviewed Plaintiffs' motion for leave to amend (D.I. 37), the associated letter briefing (D.I. 36, 39, 40, 41, 42), and Plaintiffs' notice of subsequent authority (D.I. 45), IT IS HEREBY ORDERED that Plaintiffs' motion is GRANTED. Given that the case before this Court remains at an early stage and under the applicable standards, the Court is required to take Plaintiffs' well-pled factual allegations as true and to grant leave to amend freely in the interests of justice. See, e.g., Fed. R. Civ. Proc. 12(b)(6), 15(a). While Defendants have, throughout the course of their litigation with Plaintiffs - both here and in Illinois - provided reason to be skeptical of Plaintiffs' allegations, they have provided no meritorious basis on which the Court should deny Plaintiffs the opportunity to proceed on their proposed amended complaint. At this point, the Court is not persuaded that Plaintiffs' proposed amendment is futile, as it contains new allegations raising at least a plausible inference that the alleged misconduct occurred principally and substantially in Illinois. For example, Plaintiffs now allege that AWS and Pindrop interacted directly with Plaintiffs in Illinois. (See, e.g., D.I. 36-2 paras. 71-76, 121-24, 129-31) Plaintiffs did not unduly delay, as they did not face the same extraterritoriality defense in Illinois, reasonably believed they could defeat Defendants' original motions to dismiss in this Court, and then sought leave to amend in a timely manner after this Court's prior ruling. While it would have been preferable for Plaintiffs to have met and conferred with Defendants before filing the instant motion, it was not unreasonable for Plaintiffs to have viewed their motion as dispositive, given that this case would end if the Court did not permit amendment. Accordingly, IT IS FURTHER ORDERED that Plaintiffs shall file their amended complaint no later than February 17, 2022. ORDERED by Judge Leonard P. Stark on 2/14/22. (ntl)
