Filing 19 ORAL ORDER: Having reviewed Defendants' Motion to Seal Limited Portions of Complaint (the "Motion"), D.I. 11, and related filings, D. 12, D.I. 13, and the parties' joint letter and exhibits, D.I. 16, D.I. 17, IT IS HEREBY ORDERED that Defendants' Motion is granted-in-part and denied-in-part. The parties met and conferred and agreed to redacting (1) pricing information in the Complaint and Exhibits, and (2) the name of a third-party. D.I. 16 at 1 ("Defendants represented that their relationship with a third-party is protected by a confidentiality provision, so Live Oak agreed it would not object to Defendants' proposed redaction of that third-party name."). Therefore, the parties shall file their redactions consistent with those agreements. See Mosaid Techs. Inc. v. LSI Corp., 878 F. Supp. 2d 503, 511 (D. Del. 2012) ("[T]erms that relate to pricing, valuation, monetary payments, and financial information should be protected."). Defendants, however, seek additional redactions concerning "sensitive Competitive Business Information [ ] relating to customized services offered specifically by StreetShares to Plaintiff." D.I. 16 at 1. Defendants have not met the "good cause" standard as it relates to these additional redactions. Mosaid Techs. Inc., 878 F. Supp. 2d at 507-08. In determining whether good cause is met, the Court applies a balancing process, in which "courts weigh the harm of disclosing information against the importance of disclosure to the public." Id. at 508 (citing Pansy v. Borough of Stroudsburg, 23 F.3d 772, 787 (3d Cir. 1994)). Just because information is marked confidential does not mean it overcomes the presumption of public access, and blanket statements claiming that a lack of redactions would put a party at a "competitive disadvantage" is not enough to show good cause. See Cipla Ltd. v. Amgen Inc., No. CV 19-44-LPS, 2019 WL 669796, at *1 (D. Del. Feb. 19, 2019) ("While such information may be competitively sensitive, and/or may suggest or even reveal the contents of confidential agreements between the parties [ ], the public's right to access the courts substantially outweighs these private interests of the parties."). Therefore, the parties shall file a redacted copy of the Complaint, D.I. 2, consistent with this Oral Order by 5:00 PM on April 21, 2023. ORDERED by Judge Gregory B. Williams on 4/19/23. (ntl) |
