ORAL ORDER: WHEREAS, the Complaint purports to assert two federal claims: a derivative claim under Section 14(a) of the Exchange Act (Count I); and a derivative claim for contribution under Sections 21D(f), 10(b), and 20(a) of the Exchange Act (Count II); WHEREAS, there are also four state law claims (Counts III-VI), and the Complaint alleges that this Court has original jurisdiction over the federal claims and supplemental jurisdiction over the state law claims; WHEREAS, the Court doubts the merits of the Section 14(a) claim (Count I), as the Court does not understand how the allegations support a derivative claim; WHEREAS, the Court doubts that a contribution claim under Section 21D(f) (Count II) is ripe; WHEREAS, the Court would decline to exercise jurisdiction over the state law claims if the federal claims are dismissed, see, e.g., Stone v. Martin, 720 F. App'x 132, 136 (3d Cir. 2017); WHEREAS, counsel for Plaintiff has filed a stipulation (D.I. #3 ) asking the Court to stay the case pending resolution of certain proceedings in another case; and WHEREAS, the Court does not believe that the proposed course of action is appropriate under these circumstances and is concerned that the Complaint may represent an attempt to manufacture jurisdiction in this Court; NOW, THEREFORE, IT IS ORDERED that the proposed stipulation (D.I. #3 ) is REJECTED. IT IS FURTHER ORDERED that, on or before April 2, 2025, Plaintiff must SHOW CAUSE why this case should not be dismissed for failure to state a ripe claim over which the Court has original jurisdiction.
