ORAL ORDER: WHEREAS, the Complaint purports to assert two federal claims: a derivative claim under Section 14(a) of the Exchange Act (Count I); and a derivative claim for contribution under Sections 21D, 10(b), and 20(a) of the Exchange Act (Count IV); WHEREAS, there are also two state law claims (Counts II-III), and the Complaint alleges that this Court has original jurisdiction over the federal claims and supplemental jurisdiction over the state law claims; WHEREAS, the Court doubts the merits of the Section 14(a) claim (Count I), as the Court does not understand how the allegations support a derivative claim; WHEREAS, the Court doubts that a contribution claim under Section 21D(f) (Count IV) is ripe; WHEREAS, the Court would decline to exercise jurisdiction over the state law claims if the federal claims are dismissed, see, e.g., Stone v. Martin, 720 F. App'x 132, 136 (3d Cir. 2017); WHEREAS, the parties have filed a stipulation (D.I. #10 ) asking the Court to stay the case pending resolution of certain proceedings in another case; and WHEREAS, the Court does not believe that the proposed course of action is appropriate under these circumstances and is concerned that the Complaint may represent an attempt to manufacture jurisdiction in this Court; NOW, THEREFORE, IT IS ORDERED that the proposed stipulation (D.I. #10 ) is REJECTED.
