Filing 5
ORAL ORDER: WHEREAS, the Complaint purports to assert one federal claim: a derivative claim under Section 14(a) of the Exchange Act (Count II); WHEREAS, there are also three state law claims (Counts I, III, IV), and the Complaint alleges that this Court has original jurisdiction over the federal claim and supplemental jurisdiction over the state law claims; WHEREAS, the Court doubts the merits of the Section 14(a) claim (Count II), as the Court does not understand how the allegations support a derivative claim; WHEREAS, the Court would decline to exercise jurisdiction over the state law claims if the federal claims are dismissed, see, e.g., Stone v. Martin, 720 F. App'x 132, 136 (3d Cir. 2017); WHEREAS, the parties have filed a stipulation (D.I. #3 ) asking the Court to stay the case pending resolution of certain proceedings in another case; and WHEREAS, the Court does not believe that the proposed course of action is appropriate under these circumstances and is concerned that the Complaint may represent an attempt to manufacture jurisdiction in this Court; NOW, THEREFORE, IT IS ORDERED that the proposed stipulation (D.I. #3 ) is REJECTED. IT IS FURTHER ORDERED that, on or before August 11, 2025, Plaintiff must SHOW CAUSE why this case should not be dismissed for failure to state a ripe claim over which the Court has original jurisdiction.
