ORAL ORDER: WHEREAS, the Complaint purports to assert one federal claim: a derivative claim under Section 14(a) of the Exchange Act (Count I); WHEREAS, there are also four state law claims (Counts II, III, IV, V), and the Complaint alleges that this Court has original jurisdiction over the federal claim and supplemental jurisdiction over the state law claims; WHEREAS, the Court doubts the merits of the Section 14(a) claim (Count I), as the Court does not understand how the allegations support a derivative claim; WHEREAS, the Court would decline to exercise jurisdiction over the state law claims if the federal claim is dismissed, see, e.g., Stone v. Martin, 720 F. App'x 132, 136 (3d Cir. 2017); WHEREAS, the Court is concerned that the Complaint may represent an attempt to manufacture jurisdiction in this Court; NOW, THEREFORE, IT IS ORDERED that on or before April 22, 2026, Plaintiff must SHOW CAUSE why this case should not be dismissed for failure to state a claim over which the Court has original jurisdiction.
