STIPULATION AND ORDER TO TRANSFER ACTION TO THE UNITED STATES DISTRICT COURT FOR THE DISTRICT OF DELAWARE: NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED, by and between the undersigned parties, by and through their respective counsel, and subject to the approval of the Court, as follows: 1. Pursuant to 28 U.S.C. 1404(a), the Roy Action shall be transferred to the United States District Court for the District of Delaware. 2. Any deadlines or hearings presently scheduled by this Court in the Roy Action are vacated pending transfer. 3. Defendants shall not be required to respond to the Complaint in the Roy Action unless and until the transferee court so orders. 4. Except as expressly set forth herein, nothing in this Stipulation shall be deemed to waive any claims, arguments, defenses, or objections of any party, all of which are expressly preserved. SO STIPULATED AND AGREED. Local Civil Rule 83.1 is waived. The Clerk of Court is directed to transfer this case to the U.S. District Court for the District of Delaware immediately. IT IS SO ORDERED.
