June 3, 2026 Opinion or Order Filing 5 ORAL ORDER: WHEREAS, the Complaint purports to assert one federal claim: a derivative claim under Section 14(a) of the Exchange Act (Fifth Cause of Action); WHEREAS, there are also four state law claims (First Cause of Action, Second Cause of Action, Third Cause of Action, Fourth Cause of Action), and the Complaint alleges that this Court has original jurisdiction over the federal claim and supplemental jurisdiction over the state law claims; WHEREAS, the Court doubts the merits of the Section 14(a) claim (Fifth Cause of Action), as the Court does not understand how the allegations support a derivative claim; WHEREAS, the Court would decline to exercise jurisdiction over the state law claims if the federal claim is dismissed, see, e.g., Stone v.
