November 28, 2023 Opinion or Order Filing 22 ENDORSED ORDER: Plaintiffs have filed this case in federal court on the basis of diversity jurisdiction. However, the complaint fails to sufficiently establish the citizenships of all parties and does not allege what the amount in controversy is. Specifically, the allegations regarding Plaintiffs VSL Property Holdings (STB), LLC and VSL Operating Holdings (STB), LLC and Defendant Truist Bank are insufficient. As to the Plaintiff LLCs, the complaint merely alleges they are owned by two other LLCs, which are each a "Florida limited liability company with its principal place of business in Hillsborough County, Florida." But "a limited liability company is a citizen of any state of which a member of the company is a citizen." Rolling Greens MHP, L.P. v. Comcast SCH Holdings L.L.C., 374 F.3d 1020, 1022 (11th Cir. 2004). Thus, "[t]o sufficiently allege the citizenships of" a limited liability company, "a party must list the citizenships of all the members of the limited liability company." Id. Additionally, the complaint fails to specify what type of "company" Truist Bank is--is it a corporation or a national banking association? Furthermore, the complaint fails to include enough information to determine Truist Bank's citizenship regardless of whether it is a corporation or a national banking association. See (Doc. # 1 at 2) (stating only "The Defendant is a North Carolina company, authorized to conduct business in the Middle District of Florida, and is successor-in-interest by merger to SunTrust Bank, N.A. ('SunTrust'), as of February 7, 2019."). Finally, the complaint makes no mention of the amount in controversy in its section on jurisdiction. Thus, if Plaintiffs do not wish for the Court to dismiss the case without prejudice for lack of subject matter jurisdiction, they must file an amended complaint that sufficiently alleges the basis for diversity jurisdiction by December 1, 2023. November 22, 2023 Opinion or Order Filing 6 ENDORSED ORDER: The Court is aware of the notice entered in this case, explaining that Local Rule 3.02(a)(2) requires the filing of a uniform case management report with forty or seventy days, depending on the circumstances of the case.
