February 18, 2026 Opinion or Order Filing 6 ENDORSED ORDER: Upon review, the Court finds that the Plaintiff's #1 Complaint constitutes an impermissible shotgun pleading. See Weiland v. Palm Beach Cnty. Sheriff's Off., 792 F.3d 1313, 1324 (11th Cir. 2015). Specifically, the second count improperly incorporates all prior paragraphs, leading to a situation where count II contains irrelevant factual allegations and legal conclusions. See id. at 1321 ("The most common type [of shotgun pleading]--by a long shot--is a complaint containing multiple counts where each count adopts the allegations of all preceding counts, causing each successive count to carry all that came before and the last count to be a combination of the entire complaint."). The complaint also fails to properly allege the citizenship of each member of the parties. See, e.g., Purchasing Power, LLC v. Bluestem Brands, Inc., 851 F.3d 1218, 1220 (11th Cir. 2017) ("When determining citizenship of the parties for diversity jurisdiction purposes, a limited liability company (LLC) is a citizen of every state that any member is a citizen of. And it is common for an LLC to be a member of another LLC. Consequently, citizenship of LLCs often ends up looking like a factor tree that exponentially expands every time a member turns out to be another LLC, thereby restarting the process of identifying the members of that LLC.") Accordingly, the Plaintiff's complaint is DISMISSED, and the Plaintiff is granted leave to amend its complaint no later than March 4, 2026. If the Plaintiff fails to amend the complaint, submits another shotgun pleading, or submits another complaint that fails to allege sufficient facts to find that the parties are diverse, this action will be dismissed without further notice.
