May 29, 2019 Opinion or Order Filing 6 ORDER: The Plaintiff has alleged diversity jurisdiction. In the Complaint, the Plaintiff states that Aearo Holding LLC is a "wholly owned subsidiary" of 3M Company and that Aearo Technologies LLC, Aearo Intermediate LLC, and Aearo LLC is each a "subsidiary" of Aearo Holding LLC and 3M Company. However, the Court notes that "[f]or purposes of diversity jurisdiction, a limited liability company has the citizenship of each of its members." Strother v. Harte, 171 F. Supp. 2d 203, 205 (S.D.N.Y. 2001). It is not clear whether the Plaintiff intends to reference membership by use of the word "subsidiary." Thus, Plaintiff must provide the Court with the citizenship of each member of the Defendant LLCs. If any member is itself an LLC, Plaintiff must provide the citizenship of each member of that LLC. And so on (until a non-LLC member is identified and sufficient facts are provided to identify the citizenship of that member). The Plaintiff shall file such a statement on the docket by June 5, 2019.
