The Court explained that Plaintiff did not allege enough facts about Defendant's citizenship for the Court to determine whether it could properly exercise diversity jurisdiction over the case. TEXT ORDER: This Court has an independent duty to ensure that federal subject matter jurisdiction exists in every case before proceeding to the merits. See Smith v. Am. General Life and Accident Ins. Co., 337 F.3d 888, 892 (7th Cir. 2003). Here, Plaintiff invokes this Court's diversity jurisdiction under 28 U.S.C. 1332. Plaintiff alleges that it is a limited partnership whose general and limited partners are all citizens of Illinois. So far, so good. Diversity jurisdiction is therefore satisfied if the sole defendant, Select Management Resources, LLC, is a citizen of any state other than Illinois. In arguing that Defendant is a citizen of Georgia, Plaintiff alleges that Defendant was formed under the laws of, and maintains its principal place of business in, that State. But 1332(c)(1) by its terms applies only to corporations, not LLCs. "For diversity jurisdiction purposes, the citizenship of an LLC is the citizenship of each of its members." Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007). Plaintiff neither identifies Defendant's members nor their citizenship, so this Court cannot ascertain whether it has subject matter jurisdiction over this case. Accordingly, Plaintiff is DIRECTED to file an amended complaint properly alleging that the parties are citizens of different states and that the requirements for diversity jurisdiction are met, or otherwise properly invoking the Court's jurisdiction, by January 27, 2026. If it fails to do so, the Court "must dismiss the action" for lack of subject matter jurisdiction. Fed. R. Civ. P. 12(h)(3). Entered by Magistrate Judge Ronald L. Hanna on January 6, 2026. (NL)
