MEMORANDUM Opinion and Order. The Court grants in part and denies in part defendants' motion to dismiss 20 . The motion is granted as to the common law and statutory fraud claims in Counts IV-VII and the declaratory judgment claim in Count VIII , which are dismissed with prejudice. The motion is denied as to the breach of contract and failure-to-settle claims in Counts I-III. Plaintiffs' motion to strike is stricken as moot 26 .
