MINUTE entry before the Honorable Martha M. Pacold:Defendants' motion for leave to file 10 additional pages in support of their anticipated motion to dismiss #17 is granted. Separately, the parties are ordered to show cause by 10/20/2020 why this case should not be dismissed for lack of subject matter jurisdiction. The complaint #1 premises jurisdiction on the diversity statute, 28 U.S.C. 1332(a), but it does not properly allege the citizenship for defendants Aquila Family Ventures, LLC, AFV Founders Select Capital Partners LLC, AFV Management Advisors LLC, or AFV FSCP Co-Investment I, LLC a/k/a AFV Partners Co-Investment I LLC. The complaint alleges that these defendants are limited liability companies, but lists only their places of incorporation and principal places of business. #1 paras. 8-11. The complaint also states "[n]o member or shareholder of the defendant entities is citizen of the State of Illinois." This information is insufficient. "For diversity jurisdiction purposes, the citizenship of an LLC is the citizenship of each of its members." Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007). In addition, a "naked declaration that there is diversity of citizenship is never sufficient." Id. That is, a complaint cannot "'merely allege diversity of citizenship without identifying the [parties'] states of citizenship,' for that is no better than a 'bare assertion that the defendants are citizens of another state different from the Plaintiff.'" Dancel v. Groupon, Inc., 940 F.3d 381, 385 (7th Cir. 2019) (citing Dalton v. Teva N. Am., 891 F.3d 687, 690 (7th Cir. 2018)). By 10/20/2020, the parties shall file a joint statement establishing the basis for this court's jurisdiction. The statement must establish the citizenship of each defendant, including the identity and citizenship of all members. (rao, )
