Filing 15 MINUTE entry before the Honorable Steven C. Seeger: The Court reviewed the complaint and the motion to dismiss (Dckt. No. #14 ). The complaint invokes this Court's diversity jurisdiction. Plaintiffs are 13 LLC and LLPs. The complaint includes more than a dozen pages of jurisdictional allegations, but given the number of entities, the information is not as digestible and user-friendly as it needs to be. By December 14, 2020, Plaintiffs shall file a user-friendly chart that establishes the citizenship of each plaintiff, one by one. For each individual plaintiff, the chart must identify all of its members or partners by name, and must reveal the citizenship of those entities. If any of those members or partners, in turn, is an LLC or an LLP, then the chart must identify their members and partners and reveal their citizenship. See Mut. Assignment & Indem. Co. v. Lind-Waldock & Co., LLC, 364 F.3d 858, 861 (7th Cir. 2004); Meyerson v. Showboat Marina Casino Partnership, 312 F.3d 318, 320 (7th Cir. 2002). The Court reminds Plaintiffs that they must identify the members and partners by name. See Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007) ("[A]n LLC's jurisdictional statement must identify the citizenship of each of its members as of the date the complaint or notice of removal was filed, and, if those members have members, the citizenship of those members as well."). Simply stating that no party is from "X" state, or that all members and partners are from "Y and Z" states, is not good enough. See Guar. Nat'l Title Co., Inc. v. J.E.G. Assocs., 101 F.3d 57, 58-59 (7th Cir. 1996). The Court also reminds Plaintiffs that the principal place of business for an LLC or an LLP (unlike a corporation) does not matter for purposes of diversity jurisdiction, so the chart should not include that information.
