Filing 8 MINUTE entry before the Honorable Edmond E. Chang: The Defendant has filed a motion #6 to dismiss or to transfer. But the threshold issue is subject matter jurisdiction, so the motion #6 is terminated without prejudice. The notice of removal premises jurisdiction on diversity of citizenship, 28 U.S.C. 1332. But there are two issues that require examination. (1.) The state court complaint alleges that the Plaintiff, which is an LLC, is a citizen of Illinois (as well as Delaware), and also alleges that the Defendant is a citizen of Illinois. The Defendant denies that he is a citizen of Illinois, asserting instead that he is a citizen of Indiana. R. 1, para. 5. So there is a factual dispute on citizenship that must be resolved. Perhaps the Defendant can disclose limited discovery (e.g., driver's license, voter registration, real estate record) to convince the Plaintiff on this issue. (2.) The citizenship of the Plaintiff, which is an LLC, is not like a corporation's; instead an LLC is a citizen of every state where its members are citizens. Wise v. Wachovia Securities, LLC, 450 F.3d 265, 267 (7th Cir. 2006). The Defendant apparently relied on the state court complaint for the citizenship allegation of Delaware and Illinois, R. 1-1, para. 1, but the complaint does not appear to identify the members of the LLC and their States of citizenship. To discuss these issues, the Court sets a phone status hearing for 08/19/2021 at 10:30 a.m. At the hearing, the parties need not be prepared to definitively argue the issues; this hearing is just to discuss the most efficient way to proceed.
