But those sections of the Federal Arbitration Act do not confer federal subject-matter jurisdiction on the district courts. Minor v. Prudential Sec., Inc., 94 F.3d 1103, 11041105, 1107 (7th Cir. 1996). There must be diversity of citizenship between the parties, or the motion must disclose a federal question on its face. Id. at 1107. Petitioner/movant does not disclose the citizenship of the parties and the motion does not refer to any federal-law dispute at issue. Petitioner must file a jurisdictional memorandum showing cause why the motion to vacate or modify should not be denied without prejudice for lack of subject-matter jurisdiction. The jurisdictional memorandum is due 2/22/22. If petitioner asserts diversity of citizenship, petitioner is reminded that the citizenship of an LLC is the citizenship of all of its members, and if the members are LLCs, citizenship must be traced back to the member individuals (and their domicile, not residence) or corporations (and their principal place of business and place of incorporation). Winforge, Inc. v. Coachmen Indus., Inc., 691 F.3d 856, 867 (7th Cir. 2012) (allegation of residence is not sufficient to establish citizenship, which requires domicile); Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007) (LLC's jurisdictional statement must identify the citizenship of each of its members and, if those members have members, the citizenship of those members as well).
