Kennelly: The defendant in this case, Seamless Contacts Inc., has moved for leave to file and keep under seal the unredacted version of its notification of affiliates filed under Fed. R. Civ. P. 7.1, which identifies any owner of more than ten percent of its equity. The redacted version filed in the public record identifies an individual owner but blacks out an entity owner, referred to in public filings as a private equity firm. The memorandum filed in support of the request to keep the private equity firm's identity sealed does not disclose any case in which the identity of an owner of a party to a case has been kept under seal. But the affidavit filed in support of the motion, submitted by the defendant's chief operating officer, says that the identity of the private equity firm has not been disclosed publicly by either the firm or the defendant, and it further says that disclosure of the private equity firm's identity would give the defendant's competitors insight into its "go-to-market strategy, its fundraising efforts, and its strategy relating to potential future mergers and acquisitions." Based on this affidavit, the Court provisionally grants defendant's motion to file under seal #17 , subject to further review as the case progresses. The Court reserves the right to require a further submission from the defendant in this regard. Finally, the Court advises that it has reviewed the under-seal (i.e., unredacted) version of the notification of affiliates to ascertain that the Court has no conflict of interest arising from the undisclosed owner's ownership of the defendant.
