The complaint asserts jurisdiction pursuant to 28 U.S.C. 1332(d); however, it does not allege the defendant's state of incorporation or its principal place of business. Both must be alleged to establish the defendant's citizenship. The complaint does allege that the defendant's headquarters are located in Illinois, Compl. 11; however, "what matters for the citizenship of a corporation is its state of incorporation and its principal place of business, not its 'headquarters.'"
