Filing 8 NOTICE of Voluntary Dismissal by William Wrigley, Jr (Martin, Craig) |
Filing 7 MINUTE entry before the Honorable John J. Tharp, Jr: Upon review of the complaint, it fails to adequately plead subject matter jurisdiction. The complaint asserts jurisdiction pursuant to 28 U.S.C. 1332(a)(1); however, it does not expressly allege defendant Weisman Holding Corporation's principal place of business. The complaint does allege that the defendant has an Illinois address, Compl. 8; however, "what matters for the citizenship of a corporation is its state of incorporation and its principal place of business, not its 'headquarters.'" Dalton v. Teva N. Am., 891 F.3d 687, 690 (7th Cir. 2018); see McMahon v. Bunn-O-Matic Corp., 150 F.3d 651, 653 (7th Cir. 1998) ("An allegation of residence is inadequate."). Furthermore, the complaint does not allege the memberships of defendants WCCC, LLC and Compass Dispensary Management, LLC. Compl. 1415. The citizenship of an LLC is the citizenship of each of its members; therefore, "an LLC's jurisdictional statement must identify the citizenship of each of its members...." Thomas v. Guardsmark, LLC, 487 F.3d 531, 534 (7th Cir. 2007). Accordingly, the plaintiff is granted leave to amend to address these issues by 07/13/2022. Mailed notice (air, ) |
