Kennelly: The complaint in this case, which was filed in federal court based on diversity of citizenship, does not adequately describe the citizenship of any of the parties. Regarding individual parties, the complaint identifies their states of residence, but does not identify their states of citizenship. The two are not necessarily the same. Regarding the corporate party, the complaint appears to identify its state of incorporation but does not identify the state of its principle place of business (the statement that it has a corporate office in a state is not enough). Regarding the limited liability company (LLC) parties, the citizenship of a limited liability company is that of each of its members, and if any member is an entity, citizenship must be traced all the way down. See, e.g., Mut. Assignment & Indemn. Co. v. Lind-Waldock & Co., LLC, 364 F.3d 858, 861 (7th Cir. 2004); Cosgrove v. Bartolotta, 150 F.3d 729, 731 (7th Cir. 1998). Plaintiffs are given until 10/10/2023 to file an amended complaint that adequately describes each party's citizenship. If plaintiff fails to do so, the Court will dismiss the case for lack of federal subject matter jurisdiction. (mk)
