August 28, 2019 Opinion or Order Filing 19 SECOND ORDER REGARDING JURISDICTION: As the Court previously explained to Plaintiff, he has not properly alleged the citizenship of Defendant TMS International, LLC. The law of this Circuit plainly provides that if a party is an LLC, its citizenship depends on the citizenship of each of its members. See, e.g., Copeland v. Penske Logistics, LLC, 675 F.3d 1040, 1043 (7th Cir. 2012) ("a limited liability company's citizenship includes every state of which any unit holder is a citizen"). Accordingly, Plaintiff is ORDERED to file a Second Amended Complaint that corrects the defects in its pleading of the Court's subject matter jurisdiction on or before September 18, 2019. If Plaintiff fails to file a Second Amended Complaint in the manner and time prescribed or if, after reviewing it, the Court finds that Plaintiff does not properly establish subject matter jurisdiction, the Court will dismiss the action for lack of jurisdiction. See Guaranty Nat'l Title Co. Inc. v. J.E.G. Associates, 101 F.3d 57, 59 (7th Cir. 1996); see also Tylka v. Gerber Prods. Co., 211 F.3d 445, 448-49 (7th Cir. 2000) (It is the plaintiff's burden to establish that this Court has jurisdiction, and a court is not required to "lead counsel through a jurisdictional paint-by-numbers scheme."). July 26, 2019 Opinion or Order Filing 11 ORDER REGARDING JURISDICTION: In light of Seventh Circuit admonitions, see, e.g. America's Best Inns, Inc. v. Best Inns of Abilene, L.P., 980 F.2d 1072 (1992), the Court has undertaken an initial review of the pleadings to ensure that jurisdiction has been properly pleaded. Plaintiff invokes jurisdiction pursuant to the Court's diversity jurisdiction. Plaintiff has made a jurisdictional allegations based upon "information and belief" (See Doc. 1). It is well settled in the Seventh Circuit that jurisdictional allegations based upon information and belief are insufficient to establish federal subject matter jurisdiction. America's Best Inns, Inc. v. Best Inns of Abilene, L.P., 980 F.2d 1072, 1074 (7th Cir. 1992) (per curiam). Additionally, Plaintiff has not properly alleged the citizenship of TMS International, LLC. The law of this Circuit plainly provides that if a party is an LLC, its citizenship depends on the citizenship of each of its members. See, e.g., Copeland v. Penske Logistics, LLC, 675 F.3d 1040, 1043 (7th Cir. 2012) ("a limited liability company's citizenship includes every state of which any unit holder is a citizen"). The same definition of citizenship applies to foreign LLCs as well as domestic LLCs. See Hunley v. Glencore Ltd., Inc., No. 3:10-cv-455, 2012 WL 1071271, at *910 (E.D. Tenn. Mar. 29, 2012) (directing plaintiff to amend complaint to state membership of foreign LLC defendant so the court could determine LLC's citizenship for purposes of diversity jurisdiction). Lastly, the amount in controversy must exceed "$75,000, exclusive of interest and costs" for the Court to have diversity jurisdiction over the case. 28 U.S.C. 1332. The Complaint alleges that the amount in controversy exceeds $75,000, but does not allege the amount in controversy, exclusive of interest and costs (Doc. 1). Accordingly, Plaintiff is ORDERED to file an Amended Complaint that corrects the defects in its pleading of the Court's subject matter jurisdiction on or before August 23, 2019, or the Court will dismiss this action for lack of jurisdiction.
