ORDER AND REASONS regarding 34 Motion to Dismiss for Failure to State a Claim and 19 Motion to Dismiss. For the foregoing reasons, the Court DENIES defendants' first motion to dismiss and to stay as moot. Further, the Court GRANTS IN PART defendants' second motion to dismiss and to stay.
