August 4, 2023 Opinion or Order Filing 11 NOTICE AND ORDER: Plaintiff Robert Cowan ("Plaintiff") filed a #1 Petition for Declaratory Judgment against Defendant Brown & Brown of Louisiana, LLC ("Defendant"), alleging that this Court has jurisdiction under 28 U.S.C. 1332. R. Doc. 1, 4. The Complaint alleges (1) that Plaintiff, an individual, is domiciled in Louisiana, which is sufficient for diversity purposes, and (2) that the amount in controversy exceeds $75,000. Id. at 1, 4. However, the citizenship of Defendant has not been adequately alleged. Id. at 2 (alleging that Defendant "is a limited liability company organized under the laws of the State of Louisiana, the members of whom are not citizens of the State of Louisiana"). The citizenship of a limited liability company is determined by the citizenship of all its members, each of which must be specifically identified by name (and associated citizenship). Harvey v. Grey Wolf Drilling Co., 542 F.3d 1077, 1080 (5th Cir. 2008) and Nunez v. ACE Am. Ins. Co., No. 17-1593, 2017 WL 6997341, at *4 (M.D. La. Dec. 28, 2017). Further, negative allegations of citizenship, i.e., "none of the members are citizens of Louisiana," are insufficient, as citizenship must be affirmatively alleged. Truxillo v. American Zurich Ins. Co., No. 16-639, 2016 WL 6987127, *6 (M.D. La. Oct. 24, 2016) (citations omitted). Accordingly, IT IS ORDERED that by no later than August 11, 2023, Plaintiff shall file a motion for leave to file a comprehensive amended Complaint that provides sufficient citizenship allegations for Defendant.
