MEMORANDUM ORDER. Unincorporated associations such as an LLC have members, but corporations ordinarily have shareholders rather than members. To avoid any doubt, the amended notice of removal, which must be filed by April 17, 2021 should be abundantly clear about New Valleys status as a corporation. If New Valley is a corporation, it must allege the state in which its principal place of business is located. If it is not a corporation, it must identify its member and allege their citizenship.
