ORDER granting 10 Motion to Dismiss for Failure to State a Claim -- For the reasons set forth in the ATTACHED WRITTEN MEMORANDUM AND ORDER, Plaintiff's motion to voluntarily dismiss its claims is granted; Defendants' counterclaims are dismissed for failing to state a claim; and Defendants' requests for leave to replead and attorneys' fees are denied.
