Ramon E. Reyes, U.S.M.J., are o verruled and the R&R is adopted in its entirety. Accordingly, Defendant's motion for summary judgment is denied in its entirety and Plaintiff's cross-motion for summary judgment is granted in part and denied in part. Summary judgment is de nied to both parties on the duty to indemnify, and granted to Plaintiff on the duty to defend.
