MEMORANDUM AND ORDER ADOPTING REPORT AND RECOMMENDATIONS: The Court has reviewed the R&R and the record and, finding no clear error, adopts the well-reasoned R&R as the opinion of the Court, except that portion recommending that dismissal be w ith prejudice. Accordingly, the Court denies Plaintiffs motion for default judgment and dismisses this action for lack of personal jurisdiction, without prejudice to refiling in a jurisdiction in which personal jurisdiction over Defendants can be obtained. See Smith v. United States, 554F. App'x 30, 32 n.2 (2d Cir. 2013). The Clerk of Court is directed to enter judgment accordingly and close the case. Ordered by Judge Carol Bagley Amon on 3/19/2019.
